General Terms and Conditions of Udara Marketplace

1. Introduction

1.1. Udara ("we" or "us") operates an e-commerce platform consisting of a website and/or mobile application ("marketplace") alongside supporting payment and delivery options for the sale and purchase of products and services.

1.2. These general terms and conditions shall apply to both buyers and sellers on the marketplace and shall govern your use of the platform and related services.

• A binding contract for sale is formed directly between the buyer and seller once the buyer confirms the purchase via the marketplace.

3.2. All product prices must be clearly stated in the product listing and must include all applicable taxes.

3.3. Any extra delivery, packaging, or handling charges must be clearly stated in the product listing before purchase to be payable by the buyer.

3.4. Sellers warrant that they are the legal owners of the products offered, possess good title to them, and that the products are fit for purpose, safe, and do not infringe on any third-party intellectual property or legal rights.

4. Returns, Refunds, and Payments

4.1. Returns of products and subsequent refunds shall be managed by Udara in accordance with our dedicated Returns and Refunds page, exercised in our discretion and in compliance with local consumer protection laws.

4.2. Refunds may be issued via store credits, vouchers, bank transfers, or other electronic payment methods determined by Udara.

4.3. Buyers must make all marketplace payments securely using the approved payment infrastructure provided on Udara. Udara reserves the right to cancel or withdraw promotional points, rewards, or store credits if fraud or foul play is suspected.

5. Rules About Your Content

5.1. "Your Content" refers to any materials (including text, images, product reviews, feedback, or comments) that you submit to the marketplace for publication or processing.

5.2. Your content must be accurate, truthful, civil, and tasteful. It must not:

• Be offensive, obscene, deceptive, fraudulent, threatening, or abusive.

• Infringe any third party’s copyright, trademark, privacy rights, or data protection laws.

• Constitute spam or advertise outside links meant to bypass the marketplace.

5.3. You must not use the marketplace to bypass transaction fees, which includes contacting other users to buy or sell items outside of our platform or attempting to collect payments independently.

5.4. You grant Udara a non-exclusive, royalty-free, worldwide license to display, use, and host your content across our marketplace and marketing channels. We reserve the right to remove or edit any content at our discretion.

6. Proper Use of the Marketplace

6.1. You may view and use our marketplace via a web browser or mobile app solely for the purpose of buying or selling products.

6.2. You must not:

• Take any action that causes damage, disruption, or impairs the performance, security, or availability of Udara.

• Use any automated scripts, robots, spiders, or scrapers to extract data from our platform without our written consent.

• Hack, circumvent authentication systems, or transmit malicious software/viruses via our platform.

7. Data Privacy

7.1. All personal data collected through the marketplace will be processed in accordance with the terms of the Udara Privacy Policy.

7.2. Sellers are directly responsible to buyers for how they handle any buyer information shared to fulfill an order. Udara bears no liability to buyers for any misuse of personal data by third-party sellers.

8. Limitations of Liability

8.1. Nothing in these terms will limit or exclude any liabilities or statutory rights in a way that is not permitted under applicable consumer law.

8.2. Udara shall not be liable to you for any loss or damage resulting from platform interruptions, events beyond our reasonable control (force majeure), or any indirect business losses (such as loss of profits, revenue, or commercial opportunities).

8.3. To the maximum extent permitted by law, Udara's maximum financial liability to you for any dispute arising from a transaction or use of the platform will be limited to the total amount paid to us during that specific transaction.

9. Breaches, Variation, and Law

9.1. If you breach these terms and conditions, or if we suspect fraudulent activity, we may temporarily or permanently suspend your access to Udara, block your account, or take legal action if necessary.
